Vincent Chun Hung Chan

    Mr. Chan was appointed as our independent director in June 2022, and his appointment was effective in June 2022. With over 28 years of experience in private equity in Asia, Mr. Chan has been the Director of Samena Capital, which principally engages in private equity investment, since March 2021 and was a Senior Managing Director and Head of Asia of Samena Capital from 2016 to 2021. From 1991 to 2016, he served several leading private equity investment companies including HSBC Equity Management Limited, Suez Asia Holdings (Hong Kong) Limited, JAFCO Investment (Asia Pacific) Ltd and Spring Capital Asia, Limited. Mr. Chan has been an independent non-executive director of CN Logistics International Holdings Limited, the shares of which are listed on the Main Board of The Stock Exchange of Hong Kong Limited (“the Stock Exchange”) (stock code: 2130) since September 17, 2020, and a non-executive director of Memories Group Limited, the shares of which are listed on the Catalist of the Singapore Exchange Securities Trading Limited (stock code: 1H4). Mr. Chan is currently a Director of the Hong Kong Venture Capital and Private Equity Association. Mr. Chan has been a member of the Main Board and GEM Listing Review Committees of the Stock Exchange of Hong Kong since July 2020. He was previously a member of the Main Board and GEM Listing Committee of the Stock Exchange of Hong Kong from May 2007 to May 2012. He was also a member of the Public Shareholders Group of the HK SFC from July 2005 to March 2011. Mr. Chan received a Bachelor of Arts degree from the University of Hong Kong in November 1986 and a Master’s degree in business administration from the Manchester Business School (then known as the Victoria University of Manchester) in the United Kingdom in July 1988. He was admitted as a chartered financial analyst of the Institute of Chartered Financial Analysts, United States in September 1993.

    Ms. Chen was appointed as independent director in September 2019. Ms. Chen is the founder and the executive director of Brainzoom Business Consulting Co., Ltd. since July 2007, responsible for company operations and also leading the consulting department that provides business and financial consulting services. From January 2006 to May 2007, Ms. Chen served as a vice president and finance director of Cellon International Holdings Corporation, responsible for leading the work of the corporate finance department. From July 2000 to January 2006, Ms. Chen served as the southern China regional administration manager of PricewaterhouseCoopers (2002-2006) and former Arthur Andersen (2000-2002) (Shenzhen and Guangzhou branches), responsible for regional office administration work.  From June 1993 to June 2000, Ms. Chen served as an audit manager for Arthur Andersen (Shenzhen branch), providing audit assurance services to various PRC companies listed on international stock markets. Ms. Chen obtained a Bachelor of Accounting from Shenzhen University in 1993 and is a member of CICPA and FCCA.

    Mr. GALLO was appointed as our independent director in June 2020, and his appointment was effective in March 2021. Mr. GALLO is the chief financial officer of CoinTiger since July 2022. From March 2021 to May 2022, Mr. GALLO was the chief financial officer of ETAO International Group. Prior to that role, he was the chief executive officer of Columbia China League Business Advisory Co. from November 2019 to February 2021, providing advisory professional services, including advising Chinese companies on initial public offering issues in the U.S. From April 2013 to December 2018, Mr. GALLO served as co-founder and principal of GLS Group LLC, responsible for providing management consulting services to financial sector firms. Previously, between February 1994 and March 2013, Mr. GALLO was a senior executive at Scudder Kemper Investments (Deutsche Bank Asset Management), TLX Trading Networks, Deloitte, Ernst & Young, PricewaterhouseCoopers, EMC. In those roles, Mr. GALLO advised about 100 global financial institutions on strategy, transformation, risk and relationship manager projects. Mr. GALLO obtained his bachelor degree in management from Binghamton University – State University of New York in 1993, a master of international relations from Tufts University in 2008, and a master of public administration from Columbia University in 2018.

      Mr. Han has served as a director since July 2019, and Chairman since September 2019. Mr. Han is the founder of our Company and Hywin Financial Holdings. Prior to that, Mr. Han served as the Chairman at Henan Yizhong (Group) Co., Ltd. from July 1995 to June 2008, with responsibility for the overall management of the company. Mr. Han is currently the president of the Henan Chamber of Commerce (Shanghai) and New Shanghai Merchants Federation, and executive president of the Federation of Enterprises in Shanghai (Chamber of Commerce). Mr. Han is a recognized leader in the industry, having been awarded the “Industry Achievement Award” by Hurun Report in November 2017, the “Man of the Year in China’s Independent Wealth Management Industry” by Fortune Today in November 2016, and the “2014 Chinese Economic Figure” by Economic Information Daily in November 2014.  He was elected as the first chairman of the Council of the Chinese Private Investor Rights Protection Alliance in July 2017.

        Ms. Wang has served as a director since July 2019, and our Chief Executive Officer since September 2019. Ms. Wang has served as the Chief Executive Officer of Hywin Wealth Management division since July 2018. From July 2015 to July 2018, Ms. Wang served as the Vice President of Hywin Financial Holding Group, responsible for the middle to backstage management of the company. Ms. Wang received her Bachelor’s degree in English from Henan University in 1999 and her EMBA degree from Cheung Kong Graduate School of Business in 2018. In 2021, Ms. Wang was listed on Fortune China’s “Most Influential Business Women in China of the year”. She won the “Woman of the Year in Greater China Wealth Management” at the 2020 WealthBriefingAsia Greater China Awards.

        Zhu Shuming .

          Ms. Zhu was appointed as a director of Hywin Holdings Ltd. in February 2021. Ms. Zhu served as President and COO of Hywin Capital Management LLC, an affiliated entity, from October 2016 to February 2023. Ms. Zhu directed the overall management of the firm and also worked as the international liaison between the firm and other Hywin entities in various jurisdictions. In June 2023, Ms. Zhu joined Haiyin Wealth Management (Hong Kong) Limited as a Managing Director to advocate the firm’s public relations, diversity and ESG initiatives. Ms. Zhu brings to the firm over 10 years of experience in the financial industry and has worked in the United States, Canada and China. Ms. Zhu previously worked at various North American financial firms, including Manulife Financial, Mercer Investment Consulting and Mercer HR Consulting. Ms. Zhu graduated with a Bachelor of Science degree from Renmin University of China in 1997 and a Master of Science degree from Boston University, United States, in 2001.
